These Supplemental Terms are in addition to and supplement the Terms with respect to the use of the Baba Box service. Any conflict between the Terms and the Supplemental Terms shall be resolved in favor of the Terms.

Baba Box offers an ecommerce experience available on the Site that allows Users to purchase Box Tokens (“Credits”) that can be used to ‘open’ virtual mystery boxes (“Box(es)”). PARTICULARLY, PLEASE NOTE THAT THE TERMS INCLUDE AN AGREEMENT TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND A CLASS ACTION WAIVER.

By using Baba Box, you agree that, to the fullest extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to Baba Box, the Website, these Supplemental Terms, or the Terms must be brought solely in an individual capacity, and not as a plaintiff or class member in any purported class, collective, coordinated, consolidated, mass, representative, or private attorney general proceeding. You further waive any right to participate in, recover relief through, or have disputes heard on a class, collective, coordinated, consolidated, mass, representative, or private attorney general basis, whether in arbitration or in court.

1.4. Failure to comply.

1.4.1.At our sole discretion, we may require proof that you meet the conditions and eligibility criteria set out in these Supplemental Terms or the Terms. We may also require verification of your identity as set out in the Terms, including the “Registration Terms/Accounts” and “Verification Checks” provisions. 1.4.2.Any person who attempts to circumvent the eligibility criteria set forth in this Section 1, including the geographic restrictions under Section 1.2, will be prohibited from using Baba Box; Your Account will be closed and you will lose all Credits, Boxes, and Items accumulated through your use of Baba Box, and you will not be entitled to any refund for purchases nor any redemption of Items.

2. Right to Suspend, Modify, Remove or Add to the Platform. We reserve the right to suspend, modify, remove or add to the Platform in our sole discretion with immediate effect and without notice. We shall not be liable for any loss suffered by you resulting from any changes made and you shall have no claims against Us in such regard.

3. Platform Resources.

3.1. General.

3.1.1.You do not own any Boxes, Credits, or Items (collectively, “Platform Resources”) that you obtain through your use of Baba Box, regardless of whether you received those Platform Resources or purchased them. Your Account and any related Platform Resources are owned by the Company and your use is pursuant to the Terms and the Supplemental Terms.

3.1.2.You are not allowed to transfer Platform Resources outside of Baba Box by, for example, selling, gifting, or trading them or your account. You are not allowed to sublicense, trade, sell, or attempt to sell Platform Resources for real money, or exchange Platform Resources for value of any kind outside of the platform. Any such behaviors constitute a breach of these Supplemental Terms and the Company is entitled to take immediate action, including Account closure with no refund of Platform Resources, if the Company believes you are in violation of this provision.

3.1.3.You are not able to nor are you allowed to transfer Platform Resources to other players or other persons within the Service, for example by selling, gifting, or trading them or your account. Any such behaviors or attempts to engage in such behaviors constitute a breach of these Supplemental Terms and the Company is entitled to take immediate action if the Company believes you are in violation of this provision, including Account closure with no return of Platform Resources.

3.2. Boxes.

3.2.1. By using Credits to open Boxes, you understand and agree that you may receive (a) Gold Coins in an amount determined based on the most favorable “exchange rate” for Gold Coins then available on the Company’s website, such that the number of Gold Coins issued corresponds, based on that rate, to an amount equal to or greater than the opening price of the Box, (b) Item(s) that have a fair market value equal to or greater than the opening price of the Box, or (c) a combination of Gold Coins and Item(s) where the number of Gold Coins is determined based on the methodology described in clause (a) and, together with the fair market value of the Item(s), corresponds to an amount equal to or greater than the opening price of the Box. The opening price of the Box will instantly be deducted from your Credits balance. You will then see a visual animation to signify the action, i.e., opening the Box(es).

3.2.2.Images of Item(s) are for illustrative purposes only. Although we have made every effort to display the Item(s) in Boxes accurately, we cannot guarantee that the Item(s) revealed accurately reflects the physical and digital items you may receive. The physical and digital items you may receive and/or their packaging may vary slightly from those images.

3.2.3. The Box listing on Baba Box prominently displays every available Item that may be revealed in the Box. The result of your opened Box is not determined by the visual display but is instead determined by the algorithm we use. This algorithm is provably fair and can be verified.

3.3. Items.

3.3.1.Items are virtual representations of physical or digital products which may be ordered or otherwise used on Baba Box. Item(s) received on Baba Box will appear in your cart in your Account.

3.3.2.For most Item(s) you can choose to (1) Order the physical or digital Item(s), (2) exchange the Item(s) for Credits, (3) exchange the Item(s) for an amount equal to the fair market value of the Item(s). You understand and agree that one or more of these options may be unavailable for particular Item(s), either temporarily or permanently, at any given time at our discretion.

3.3.3.You understand and agree that we are not, under any circumstance, responsible for your delay, nor the consequences of your delay, in choosing how to use or order Item(s) in your Account (for example Items going out of stock or Items prices changing). If at any point you receive a refund of Item(s), those Item(s) will be placed back in your cart in your Account. You further understand that the Company may refuse orders for any reason subject to these Supplemental Terms.

If you fail to provide complete and accurate information, we may cancel the order and refund the Item(s) and/or charge your Account a reasonable fee for any extra work that is required as a result, solely at our discretion. If you fail to provide complete and accurate information in a timely manner, we will not be responsible for any resulting failure to supply or delay in supplying the Item(s) or any portion thereof.

4.1.2.Delivery fees. The costs of delivery (excluding customs, duties, or related importation fees, if applicable, and including shipping and/or handling, if applicable) will be displayed to you. You understand and agree that you are responsible for all delivery and importation fees (if applicable) related to delivery of your physical Item(s), both known and unknown at the time you choose to order. We disclaim all responsibility for any importation fees. Once you have paid any delivery and other fees and provided all necessary information, we will cause the physical Item to be shipped to you subject to reasonable processing and shipping times, except for in cases of delay due to an event outside our control. Our delivery time is on average between three (3) days and thirty (30) days, depending on the Item.

4.1.3.Luxury products. Some luxury physical Items may be pickup-only. For such Items, we will provide you with notice of pickup-only status either in the Item’s description or through our customer support team once you have ordered the item. If physical Item(s) are pickup-only, you must collect the physical Item(s) from the pickup point provided to you by our support team, and we will not deliver the physical Item(s).

4.1.4.Delays outside our control. We are not liable for delays outside of our control. However, if our supply of a physical Item is delayed by an event outside our control, we will provide notice to you as soon as possible, and we will take steps to minimize the effect of the delay. If there is a risk of substantial delay, and we have not yet shipped the physical Item, you may contact us and receive a refund of the Item(s).

4.1.5.Other delivery issues.

4.1.5.1.Failure to accept delivery. If you are not home when the physical Item(s) are delivered, you understand and agree that we have no control over the local carrier’s policies, and you agree to follow the carrier’s instructions on how to rearrange delivery or collect the physical Item(s) from them. If you fail to rearrange delivery or collect the physical Item(s) from the local carrier, and the physical Item(s) are returned to us, we may, in our discretion, issue Credits up to the amount of the physical Item to you upon our receipt of the physical Item(s).

4.1.5.2.Items lost in delivery. If you believe that your physical Item(s) have been lost in the delivery process, please send an email to support@babacasino.com. We may require additional information, and the Item(s) will not be refunded if you fail to provide this additional information.

We may require additional information, and we may require you to return the physical Item(s) before you become eligible to have the Item(s) refunded. We will pay the delivery costs associated with returning the damaged or faulty Item(s) to us if required. If we do not receive the physical Item(s), if we do not receive additional information in a timely manner after it is requested, or if the physical Item(s) are not damaged or faulty, we will not refund the Item to your Account.

4.1.5.4.Third-party misconduct. We are not responsible for delays or your inability to take possession of an item due to delivery issues caused by you (for example, if you provide an incorrect delivery address or if you fail to sign for the delivery where signature is required). We are not responsible for delays or your inability to take possession of a physical Item due to delivery issues caused by a third party’s negligence or willful or malicious interference with delivery, including but not limited to package theft. In the event of such delay or your inability to take possession, we may be able to, but are not required to, seek recovery from shipping insurance or similar avenues and refund the Item. If you request the Item be refunded in the event of such delay or inability to take possession caused by a negligent, willful, or malicious third party, you agree to provide us with all evidence you reasonably have access to, including any photos, videos, communications, and tracking updates related to your delivery.

4.1.6.Refusing orders. In some instances, for example if you did not meet promotional requirements or the physical Item is out of stock or if a price change or an error has occurred in the description of the price or the physical Item(s), we will be unable to accept your order, and we may refuse the order. If you are entitled to a refund for physical Item(s) under this section, we may resolve the issue in our sole and absolute discretion by (a) refunding the Item(s), (b) providing you with Credits in the value of the physical Item(s) less any delivery, storage, and restocking fees, (c) sending like replacement physical Item(s) to you, or (d) sending you different physical Item(s) of equal or greater value.

If you fail to provide complete and accurate information, we may cancel the order and refund the Item(s) or make an additional charge of a reasonable sum to compensate us for any extra work that is required as a result, solely at our discretion. We will not be responsible for failure to supply or delay in supplying the digital Item(s) or any portion thereof, if this failure or delay is caused by you failing to provide complete and accurate information in a timely manner.

4.2.2.Delivery fees. There are generally no delivery fees associated with the delivery of digital Item(s). If delivery fees apply, the cost of delivery will be displayed to you.
